1. Acceptance of Terms

By accessing or using Maya ("Maya," "we," "our," or "us"), you ("Customer," "you") agree to these Terms of Service ("Terms").

If you are using the Services on behalf of a company, you represent that you have authority to bind that entity.

2. Description of Services

Maya provides AI-powered communication and workflow automation tools, including:

  • Voice agents
  • SMS messaging
  • Webchat interfaces
  • Email automation
  • Workflow orchestration and integrations

The Services are configurable per customer and may include third-party integrations.

3. Account Registration and Responsibilities

You agree to:

  • Provide accurate account information
  • Maintain the security of your credentials
  • Be responsible for all activity under your account

You must not:

  • Use the Services for unlawful, fraudulent, or abusive purposes
  • Interfere with or disrupt the Services
  • Attempt to reverse engineer or extract source code

4. Customer Data

4.1 Ownership

You retain all rights to data you provide ("Customer Data").

4.2 License to Maya

You grant Maya a limited license to:

  • Process Customer Data
  • Operate and improve the Services
  • Perform customer-configured workflows

4.3 Responsibility

You are responsible for:

  • Obtaining all necessary consents (for example, SMS opt-in, call recording consent)
  • Ensuring compliance with applicable laws (for example, TCPA, CCPA)

5. AI and Automation Disclaimer

Maya uses AI systems (including third-party providers such as OpenAI and ElevenLabs) to generate responses and automate workflows.

You acknowledge that:

  • AI outputs may be inaccurate or incomplete
  • AI decisions are probabilistic, not deterministic
  • You are responsible for reviewing and validating outputs where appropriate

Maya supports human-in-the-loop escalation, but it is your responsibility to configure it.

6. Communications Compliance (Critical)

If you use voice, SMS, or email features, you agree to comply with:

  • TCPA (Telephone Consumer Protection Act)
  • 10DLC requirements
  • CAN-SPAM Act
  • Applicable call recording laws

You must:

  • Obtain proper user consent before messaging or calling
  • Provide opt-out mechanisms (for example, STOP for SMS)
  • Honor unsubscribe requests

Maya is not responsible for your compliance failures.

7. Third-Party Services

The Services may integrate with third-party providers such as:

  • Twilio / Telnyx (telecom)
  • Property management systems (for example, SiteLink, storEDGE)
  • Payment processors

We are not responsible for:

  • Third-party service availability
  • Data handled outside our systems
  • Third-party terms or policies

8. Fees and Payment

  • Fees are defined in your Order Form or subscription plan
  • Payments are non-refundable unless stated otherwise
  • We may suspend Services for non-payment

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service.

Downtime may occur due to:

  • Maintenance
  • Third-party outages
  • Infrastructure issues

10. Data Security

We implement reasonable security measures, but no system is completely secure, and you are responsible for securing your own systems and integrations.

11. Termination

11.1 By You

You may stop using the Services at any time.

11.2 By Maya

We may suspend or terminate access if:

  • You violate these Terms
  • Required by law
  • Your use poses risk to the platform

12. Limitation of Liability

To the maximum extent permitted by law, Maya shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • AI-generated errors or business decisions based on outputs

Our total liability shall not exceed the amount paid by you in the past 12 months.

13. Indemnification

You agree to indemnify and hold Maya harmless from claims arising from:

  • Your use of the Services
  • Your Customer Data
  • Your violation of laws (for example, messaging compliance)

14. Intellectual Property

  • Maya owns all rights to the platform, software, and technology
  • You may not copy, modify, or resell the Services without permission

15. Multi-Tenant Platform

Maya operates as a multi-tenant system:

  • Customer data is logically isolated
  • Configurations and workflows are tenant-specific

16. Modifications to the Services

We may update or modify features and add or remove functionality.

We will provide notice for material changes when reasonable.

17. Governing Law

These Terms are governed by the laws of: State of New York, United States.

18. Dispute Resolution

Disputes shall be resolved through:

  • Good faith negotiations first
  • Then binding arbitration (if unresolved), unless prohibited by law

19. Changes to Terms

We may update these Terms periodically. Continued use constitutes acceptance of updated Terms.
